Astra Pacifica Incorporated

Website Policies

Privacy Policy

Effective date: October 21, 2026.

1. Scope and who we are

Astra Pacifica Incorporated ("Astra Pacifica", "we", "us" or "our") is a federally incorporated business development and business-to-business consulting firm based in British Columbia, Canada. We operate astrapacifica.ca and its related pages, forms and features (the "Website").

This Privacy Policy describes how we collect, use, disclose and retain personal information in connection with the Website, business enquiries, and requests for introductions to projects, companies and commercial opportunities. It applies to personal information under our control.

The Website and our services are directed at businesses and professionals. They are not directed at consumers acting for personal, family or household purposes, or at individuals under the age of majority in their jurisdiction, and we do not knowingly collect personal information from minors.

This Privacy Policy is a statement of our practices. It is not a contract and does not create rights or obligations beyond those imposed by applicable law. A signed client agreement or our General Terms and Conditions may contain additional terms governing information exchanged in a specific engagement or introduction.

2. Business contact information

Most information we receive relates to individuals acting in a business or professional capacity. British Columbia's Personal Information Protection Act excludes contact information and work product information from its definition of personal information, and Canada's Personal Information Protection and Electronic Documents Act does not apply to business contact information collected, used or disclosed solely to communicate with an individual in relation to their employment, business or profession. We collect, use and disclose business contact information for those business purposes, including to facilitate introductions. We nonetheless protect it with the safeguards described in this policy.

3. Information we collect

Information you provide. Your name, title, organization, business contact details, information about projects, products, capabilities and commercial opportunities, and the contents of your correspondence, documents and attachments.

Information from other sources. Business information about you or your organization received from clients, project participants, manufacturers, distributors and referral sources, and obtained from publicly available sources such as company websites, business registries, industry directories, public procurement and tender portals, permit records and news media.

Technical information. Internet Protocol address, browser and device type, pages viewed, dates and times of access, referring pages, and log and security-event data recorded by the Website and our hosting provider, including through cookies and similar technologies described in section 7.

Information you should not send. Do not send passwords, banking credentials, payment-card numbers, government identification numbers, health information or other sensitive personal information through the Website or by ordinary email. We may delete such information without review. To the extent permitted by law, we are not responsible for information sent contrary to this instruction.

4. How we use information

We use personal information to:

· respond to enquiries and assess whether and how we can assist;

· identify, evaluate and facilitate introductions to projects, companies and commercial opportunities, including introductions you request;

· prepare for, perform, administer and invoice client engagements and introductions;

· maintain records of introductions, communications and transactions in order to administer and enforce our agreements, including fee, commission, confidentiality and non-circumvention entitlements;

· conduct business development and market research concerning projects, organizations and industry participants;

· send business communications and, where permitted by law, commercial electronic messages;

· measure Website use and the effectiveness of our business communications and advertising, including through the tools described in section 7;

· operate, secure, maintain and improve the Website, and detect and prevent fraud, misuse and security incidents; and

· comply with legal obligations, respond to lawful requests, and establish, exercise or defend legal claims.

5. Consent

We obtain consent where applicable law requires it. Consent may be express or implied, depending on the sensitivity of the information and the reasonable expectations of the individual. When you voluntarily provide information for an evident purpose, such as submitting an enquiry or requesting an introduction, you consent to our collection, use and disclosure of that information for that purpose, including disclosure to prospective counterparties relevant to the introduction.

You may withdraw consent on reasonable notice, subject to legal and contractual restrictions. Withdrawal may prevent us from responding, continuing an introduction or providing services. It does not affect disclosures already made or records we are required or permitted to retain, including records of introductions already made.

6. Disclosure

We may disclose personal information to:

· prospective clients, project owners, developers, general contractors, consultants, manufacturers, distributors and other counterparties, where reasonably necessary to evaluate or facilitate an introduction or engagement you have requested or that is consistent with the purpose for which the information was provided;

· service providers that support our operations, such as website hosting, email, customer relationship management, analytics, advertising, appointment booking, communications, document storage, information technology security and accounting, who are required to protect the information and use it only to provide their services to us;

· our legal, accounting, insurance and other professional advisers;

· parties to an actual or proposed sale, financing, reorganization or other business transaction involving Astra Pacifica, as permitted by law; and

· courts, tribunals, regulators, law enforcement and other parties where required or permitted by law, including to enforce our agreements or protect the rights, property or safety of Astra Pacifica or others.

Non-public project or commercial information that is not personal information is addressed in our Terms of Use and in any signed confidentiality agreement.

7. Cookies and similar technologies

We and our hosting provider use cookies and similar technologies that are necessary to deliver, secure and maintain the Website. With your consent where applicable law requires it, we also use analytics, form-tracking and advertising technologies provided by HubSpot and LinkedIn (Insight Tag). These tools record how visitors use the Website and its forms, help us measure and improve our business development activity, and allow us to show relevant business advertising on third-party platforms. These providers may process information in the United States, the European Union and other jurisdictions. Where applicable law permits implied consent, your continued use of the Website after being notified through our cookie notice constitutes your consent to these technologies and to the collection, use and disclosure of information described in this Privacy Policy. Where applicable law requires express consent, including for visitors in the European Union, the United Kingdom and Quebec, we request it through a cookie banner or preference control before optional technologies are activated. You may withdraw or change your choice at any time. You may also manage cookies through your browser settings. Disabling cookies may affect Website functionality.

8. Processing outside British Columbia and Canada

Our service providers may store or process information outside British Columbia and Canada. Information processed in another jurisdiction is subject to the laws of that jurisdiction and may be accessible to its courts, law enforcement and national security authorities. We use contractual and other measures to protect information handled by our service providers.

9. Retention

We retain personal information for as long as reasonably necessary for the purposes described in this policy, including the administration and enforcement of our agreements. Because fee, commission and non-circumvention entitlements can arise long after an introduction, we retain records of introductions and related correspondence for the term of the relevant agreement, any survival period, and the applicable limitation period for legal claims.

Where we use personal information to make a decision that directly affects an individual, we retain that information for at least one year after the decision, as British Columbia law requires. When information is no longer required, we destroy it securely or remove the means by which it can be associated with an individual, subject to the scheduled expiry of backup copies.

10. Security

We use reasonable administrative, technical and physical safeguards appropriate to the sensitivity of the information. No method of internet transmission or electronic storage is completely secure. Website forms and ordinary email are not end-to-end encrypted unless we expressly agree otherwise, and, to the extent permitted by law, you transmit information by those methods at your own risk. We will notify affected individuals and regulators of privacy breaches where applicable law requires. If you believe information you sent us has been compromised, contact our Privacy Officer without including the sensitive information in your message.

11. Access, correction and complaints

Subject to applicable law and its exceptions, you may request access to your personal information under our control, information about how it has been used and disclosed, and correction of inaccurate or incomplete information. Send requests in writing to our Privacy Officer at the contact details in section 14. We may require information to verify your identity and clarify your request, and may charge a minimal fee for access where the law permits. We will respond within the time required by applicable law and explain any refusal, which may be based on grounds such as confidential commercial information, information about other individuals, or legal privilege.

If you are not satisfied with our response, you may contact the Office of the Information and Privacy Commissioner for British Columbia or the Office of the Privacy Commissioner of Canada, as applicable.

12. Individuals outside Canada

The Website is operated from Canada, and information you submit will be transferred to and processed in Canada. Where the privacy law of another jurisdiction, such as the European Union General Data Protection Regulation or United Kingdom data protection law, applies to our processing, we will honour the rights that law provides, subject to its conditions and exceptions. Where that law requires a legal basis, we rely on our legitimate interests in responding to enquiries and developing business relationships, steps taken at your request before entering into a contract, compliance with legal obligations, and consent where required.

13. Changes to this policy

We may update this Privacy Policy at any time by posting a revised version with a new effective date. Where applicable law requires additional notice or consent for a change, we will provide or obtain it.

Terms of Use

Effective date: October 21, 2026.

Please read these Terms carefully. They limit our liability, require claims to be brought individually in the courts of British Columbia within a shortened time period, and incorporate our General Terms and Conditions, including their fee and non-circumvention provisions, for any introduction you request, receive or act on.

1. Acceptance

These Terms of Use ("Terms") form a binding agreement between you and Astra Pacifica Incorporated ("Astra Pacifica", "we", "us" or "our") governing your access to and use of astrapacifica.ca and its related pages, content, forms and features (the "Website"). By accessing or using the Website, submitting an enquiry, or requesting, receiving or acting on an introduction or opportunity information from us, you agree to these Terms. If you do not agree, do not use the Website.

If you use the Website on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization. The Website is intended for business use by persons who have reached the age of majority.

2. Relationship to other agreements

General Terms and Conditions. Our General Terms and Conditions (the "General Terms"), govern any request for, provision of, or acceptance of an introduction to a project, company, person or commercial opportunity, together with any related fees, commissions, confidentiality and non-circumvention obligations. The General Terms are incorporated into these Terms by reference. By requesting, receiving or acting on an introduction or opportunity information from us, you agree to the General Terms.

Order of precedence. If there is a conflict, a written agreement signed by an authorized officer of Astra Pacifica prevails over the General Terms, and the General Terms prevail over these Terms, in each case only for the subject matter of the prevailing document.

3. No engagement, professional advice or fiduciary relationship

Website content is general business information only. Unless expressly stated in a signed engagement agreement, we do not provide engineering, architectural, legal, accounting, tax, investment, customs brokerage or other regulated professional services, and nothing on the Website is advice of that kind.

Use of the Website, an enquiry, or correspondence with us does not create a client, agency, partnership, joint venture, employment or fiduciary relationship. Apart from obligations accepted under the General Terms, no obligation on the part of Astra Pacifica arises unless it is set out in a written agreement signed, including electronically, by an authorized officer of Astra Pacifica. Emails, proposals, estimates, quotations and discussions are not binding on us unless they state that they are and are signed in that manner. We have no authority to bind any third party, including any manufacturer, supplier or project participant, unless that authority is expressly granted in writing.

4. Introductions, compensation and non-circumvention

Compensation. We may receive fees, commissions, retainers or other compensation from one or more parties to an introduction or resulting transaction, including manufacturers, suppliers and project participants. We may provide services to other parties, including your competitors, and nothing in these Terms restricts us from doing so.

Non-circumvention. You must not use any information we provide about a project, company, person or opportunity that was not already known to you to contact, negotiate or transact with the introduced party, directly or through others, in a way that bypasses Astra Pacifica or avoids fees or compensation due under the General Terms or a signed agreement. The General Terms set out the detailed obligations and remedies.

No verification or guarantee. We do not verify, and make no representation about, the identity, creditworthiness, licensing, insurance, capacity, performance or conduct of any party we introduce. You are solely responsible for your own due diligence and decisions. We are not responsible for the acts or omissions of any introduced party and do not guarantee any award, contract, sale, approval, payment or other outcome.

5. Website information and third-party products

Website content reflects circumstances at the time it was prepared and may be incomplete or out of date. Markets, tariffs, trade measures, building codes, standards, prices and lead times change frequently.

Information about third-party products and systems, including specifications, certifications, test results, performance ratings, pricing, availability and compliance with building codes, standards or project specifications, is derived from third parties. We make no representation about it. Verify it with the manufacturer, the responsible design professional and the authority having jurisdiction. Any product warranty is given only by the manufacturer, or by us under a signed supply agreement, and only to the extent stated in it.

You agree that you will not rely on Website content, and do not rely on any statement made outside a signed agreement, as the basis for entering into any transaction.

6. Submissions and confidential information

Send only information reasonably necessary for your enquiry. Before sending confidential or commercially sensitive material, contact us to arrange a suitable method of exchange and any confidentiality terms.

Unless and until a written confidentiality agreement is signed by an authorized officer of Astra Pacifica, or the General Terms expressly provide otherwise, no confidentiality obligation arises from any enquiry, submission, proposal, idea, document or project information you send us. Our handling of personal information is described in our Privacy Policy.

You represent that you have the right to submit what you send us and that doing so does not infringe any person's rights or breach any confidentiality obligation you owe to others. You grant us a non-exclusive, worldwide, royalty-free licence to use, copy and disclose your submissions to evaluate and respond to them, facilitate introductions, perform services and maintain our records. We may use any feedback or suggestions without obligation to you. We may independently develop, or receive from others, ideas and opportunities similar to those you submit, and have no obligation to you in respect of them.

7. Intellectual property

Astra Pacifica or its licensors own all intellectual property rights in the Website and its content. The Astra Pacifica name and logo are our trademarks. Subject to these Terms, you may view the Website and download or print reasonable excerpts for your own internal business evaluation, provided you keep all proprietary notices intact.

Except with our prior written permission, you must not copy, republish, distribute, sell, sublicense, frame or modify Website content; use any robot, scraper, crawler or other automated means to access, extract or compile Website content or data; use Website content to build a database or to train, fine-tune or evaluate any artificial intelligence or machine learning system; or use our name, logo or content in a way that suggests endorsement, sponsorship or affiliation. All rights not expressly granted are reserved.

8. Acceptable use

You must not use the Website to break the law; impersonate any person or misrepresent an affiliation; provide false information; introduce malicious code; attempt unauthorized access; probe, scan or test the Website's vulnerability without our written authorization; interfere with or overload the Website; harvest contact information; or send unsolicited commercial messages. We may suspend or block access, remove content and report conduct to the appropriate authorities at any time without notice.

9. Third-party websites and services

Links to third-party websites and services are provided for convenience only and do not imply endorsement. We do not control and are not responsible for their content, availability, security or practices, and your use of them is governed by their own terms.

10. Electronic communications and privacy

You consent to receiving communications from us electronically, and agree that electronic communications satisfy any legal requirement that a communication be in writing. Our Privacy Policy explains how we handle personal information.

Where we send commercial electronic messages subject to Canada's Anti-Spam Legislation, we do so with consent or another lawful basis, and each message identifies the sender and includes an unsubscribe mechanism. We give effect to unsubscribe requests without delay and in any event within 10 business days. Unsubscribing does not stop communications about an existing enquiry, engagement or legal obligation.

11. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Website and all content are provided "as is" and "as available", without any representation, warranty or condition of any kind, whether express, implied or statutory, including any implied warranty or condition of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security or freedom from harmful code.

12. Limitation of liability

To the fullest extent permitted by applicable law:

· Astra Pacifica is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, contract, opportunity, goodwill, data or anticipated savings; and

· the total aggregate liability of Astra Pacifica arising out of or relating to the Website, its content, these Terms, or any enquiry or communication not governed by a signed agreement or the General Terms will not exceed one hundred Canadian dollars (CAD 100).

These limitations apply to all causes of action, whether in contract, tort (including negligence and negligent misrepresentation), strict liability, statute, equity or otherwise, even if we were advised of the possibility of the loss. The Website is provided free of charge, and these limitations are a fundamental basis of the allocation of risk between you and us. They do not limit any liability that cannot be limited by law. Liability under a signed agreement or the General Terms is governed exclusively by that document.

13. Indemnity

You will defend, indemnify and hold harmless Astra Pacifica and its directors, officers, employees, contractors, agents, successors and assigns from and against all claims, liabilities, damages, losses, costs and expenses, including legal fees on a full-indemnity basis, arising out of or relating to your breach of these Terms or the General Terms; your use or misuse of the Website; your submissions, including any infringement or breach of confidentiality owed to others; your dealings with any party introduced to you; or your violation of any law or third-party right. We may assume the exclusive defence of any such matter at your expense, and you will cooperate with that defence.

14. Time limit for claims

To the extent permitted by applicable law, any claim by you against Astra Pacifica arising out of or relating to the Website or these Terms must be commenced within one year after the day on which the claim is discovered. This one-year period applies in place of, and excludes, the basic limitation period under the Limitation Act (British Columbia) and any other statutory limitation period that would otherwise apply.

15. Governing law and disputes

These Terms, and any claim arising out of or relating to them or the Website, are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws rules.

You irrevocably submit to the exclusive jurisdiction of the courts of British Columbia and waive any objection to those courts based on venue or inconvenient forum. Despite this, we may seek injunctive or other equitable relief, or enforce our intellectual property, confidentiality, fee or non-circumvention rights, in any court of competent jurisdiction.

To the extent permitted by applicable law, you will bring any claim against us only in your individual capacity and not as a plaintiff, class member or representative in any class or representative proceeding. Where mandatory law confers a right that cannot be waived, this section applies to the maximum extent that law permits.

16. Changes, suspension and termination

We may modify, suspend or discontinue all or part of the Website, or restrict your access, at any time without notice or liability. We may revise these Terms by posting an updated version with a new effective date. Revised Terms apply from their effective date and do not apply to a dispute arising from events that occurred before that date. Continued use of the Website after that date constitutes acceptance of the revised Terms.

17. General

These Terms, together with the Privacy Policy and the General Terms, are the entire agreement between you and us concerning the Website. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in full force. Our failure or delay in exercising a right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them without restriction. We are not liable for any failure or delay caused by events beyond our reasonable control. The word "including" means "including without limitation", and headings are for convenience only. Sections 2 to 7 and 11 to 17 survive any termination of your use of the Website.
